Terms of Service

These terms govern any custom software, website, or consulting engagement between Project 251 — a sole proprietorship operated by Brad Jones, Knoxville, Tennessee — and a client ("you"). By engaging Project 251 for a project, you agree to these terms alongside the written scope of work or quote agreed for that project.
Scope of services
Project 251 provides custom software development, business websites, systems integration, workflow automation, and ongoing technical support for small businesses, as described on this site. The specific work, deliverables, and timeline for any project are defined in a written quote or scope of work agreed with you before work begins. Work outside that agreed scope is treated as a new request and quoted separately.
Client responsibilities
You agree to provide timely feedback, decisions, content, and any access or credentials (hosting, domain, third-party accounts, etc.) reasonably needed to complete the project. Delays in providing these may delay delivery, and Project 251 isn't responsible for timelines missed as a result.
Payment
Project-based work is billed per the agreed quote, typically with a deposit due before work begins and the remaining balance due at agreed milestones or on completion. Retainer work is billed monthly in advance. Invoices are due within 15 days of issuance unless otherwise agreed in writing. Project 251 may pause work on overdue accounts until payment is current.
Ownership of delivered work
Once an invoice for a deliverable is paid in full, you own the custom code, designs, and content created specifically for your project. Project 251 retains ownership of its own pre-existing tools, frameworks, and reusable components used to build it, and grants you a license to use them as part of your delivered project. Until an invoice is paid in full, Project 251 retains ownership of the associated deliverable.
Project 251 may reference completed projects — including screenshots and a general description of the work — in its own portfolio and case studies, unless you request in writing that a specific project be kept confidential.
Warranty
Project 251 will correct defects in delivered work that are reported within 30 days of delivery, at no additional charge. Beyond that period, fixes and changes are billed as new work unless covered by an active support retainer. Services and software are otherwise provided "as is," without warranty that they will be uninterrupted or completely error-free.
Limitation of liability
Project 251's total liability for any claim arising from a project is limited to the amount you paid Project 251 for that specific project. Project 251 is not liable for indirect, incidental, or consequential damages, including lost profits or lost data, arising from its services.
Termination
Either party may terminate an engagement with written notice. You're responsible for paying for work completed up to the termination date. For retainer agreements, either party may cancel with 30 days' written notice.
Governing law
These terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles. Any dispute arising from these terms or a project engagement will be handled in the state or federal courts located in Knox County, Tennessee.
Changes to these terms
These terms may be updated from time to time; the current version always applies to new engagements. Terms already agreed to in a signed quote or scope of work for an active project aren't changed retroactively.
